These Legal Terms and Conditions (“Terms”) govern access to and use of the Spiderweb Planner software service provided by Bike Pretty LLC (“Bike Pretty”, “we”, “us”, or “our”).

By creating an account or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

Any individual or business entity using Spiderweb Planner for business or professional purposes.

Spiderweb Planner is a software tool intended for businesses to manage their own social media accounts.

2. Description of the Service

Spiderweb Planner is a web-based platform that allows Users to:

  • Connect Facebook Pages they administer

  • View analytics and performance metrics

  • Plan and schedule posts

  • Automatically publish content

  • Re-publish existing content

  • Maintain a content calendar

Availability of specific features may change over time.

The Service depends on third-party platforms (such as social networks). Bike Pretty is not responsible for limitations, outages, or policy changes imposed by those platforms.

3. Registration and Account

3.1 Account Creation

To use the Service, you must create an account using a valid email address and password.

You agree that:

  • The information you provide is accurate

  • You will keep it updated

  • You are legally able to enter a binding agreement

  • You are using the Service for business purposes

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials.

You must immediately notify Bike Pretty if you suspect unauthorized access.

Bike Pretty is not responsible for damages caused by unauthorized use of your credentials.

3.3 One Account Rule

You may not create accounts to bypass usage limits or restrictions.

4. Connection to Social Media Accounts

To use certain features, you may connect social media accounts.

You confirm that:

  • You are an administrator of any connected account

  • You have permission to publish content

  • You comply with the platform’s terms of service

Spiderweb Planner acts only as a technical tool executing your instructions.

Bike Pretty does not control or monitor your social media content.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any law or regulation

  • Publish unlawful, abusive, defamatory, or infringing content

  • Send spam or repetitive automated content

  • Circumvent platform restrictions

  • Interfere with service security or operation

Bike Pretty may suspend accounts that violate these rules.

6. User Content Responsibility

You retain ownership of all content you publish.

You grant Bike Pretty a limited license to process and transmit your content solely to provide the Service.

You are solely responsible for:

  • The legality of your content

  • Copyright compliance

  • Platform policy compliance

Bike Pretty is not liable for content published through the Service.

7. Subscriptions and Payment

Certain features may require a paid subscription.

By purchasing a subscription:

  • You authorize recurring billing for the selected billing period

  • Fees are charged in advance

  • Taxes may apply

Plan Changes

  • Upgrades take effect immediately

  • Downgrades take effect at the next billing cycle

  • Refunds are not provided for partial billing periods

8. Term and Termination

These Terms remain in effect while you use the Service.

8.2 User Cancellation

Access continues until the end of the paid billing period.

8.3 Termination by Bike Pretty

Spiderweb Planner interacts with third-party services (e.g., social networks).

Bike Pretty is not responsible for:

  • Platform outages

  • API changes

  • Account suspensions by the platform

  • Content removals by the platform

  • Platform policy enforcement

Your relationship with those platforms is governed by their own terms.

11. Intellectual Property

Spiderweb Planner software, branding, and design are owned by Bike Pretty LLC.

You may not:

  • Copy

  • Reverse engineer

  • Resell

  • Redistribute

  • Create derivative works

except as allowed by law.

12. Limitation of Liability

To the maximum extent permitted by law:

Bike Pretty LLC shall not be liable for:

  • Loss of profits

  • Loss of business opportunities

  • Platform penalties

  • Account suspensions

  • Indirect or consequential damages

Total liability shall not exceed the amount paid by you in the previous 12 months.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We do not guarantee:

  • Platform compatibility

  • Continuous operation

  • Performance improvements

  • Specific analytics accuracy

14. Changes to the Terms

We may update these Terms.

Continued use of the Service after changes means acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.
